Seven Oceans Expeditions, LLC
Effective Date: March 22, 2026

These Terms & Conditions govern participation in any expedition, training program, or related activity (“Expedition”) operated by Seven Oceans Expeditions, LLC (“SOE”).

By submitting a reservation request, paying a deposit, or participating in an Expedition, you agree to these Terms.

1. Reservations & Payments

A deposit equal to twenty-five percent (25%) of the expedition fee is required to secure participation.

SOE may, at its discretion, offer a provisional hold for up to eight (8) days. A provisional hold does not constitute a confirmed reservation. If another prospective Participant seeks to reserve the same space, SOE will notify the Participant holding the space, who will have twenty-four (24) hours to submit the required deposit and signed Agreement & Release. If not received, SOE may release the space without further notice.

An additional payment of twenty-five percent (25%) is due one hundred fifty (150) days prior to departure.

The remaining balance is due one hundred twenty (120) days prior to departure.

Failure to remit payment may result in cancellation of the reservation, subject to the Cancellation & Refund Policy below.

All bank fees, wire fees, and currency conversion costs are the responsibility of the participant. The full expedition fee must be received by SOE.

Required Documentation

All required forms, waivers, and requested documentation must be submitted no later than ninety (90) days prior to the start date of the Expedition. Failure to do so may result in cancellation of participation without refund.

2. Participant Cancellations and Cancellation Penalties

All cancellations must be submitted in writing to contact@sevenoceansexpeditions.com.

The cancellation shall be effective from the date that SOE receives written notice.

Participant acknowledges that losses sustained by SOE in the event of a cancellation would be difficult or impossible to quantify and that the fees set forth below represent a fair and reasonable estimate of such losses and constitute liquidated damages.

Cancellation & Refund Policy

More than one hundred fifty-one (151) days prior to departure:
Twenty-five percent (25%) of the Expedition fee is non-refundable.

• One hundred fifty (150) to one hundred twenty-one (121) days prior to departure:
Fifty percent (50%) of the Expedition fee is non-refundable.

• One hundred twenty (120) to ninety-one (91) days prior to departure:
Seventy-five percent (75%) of the Expedition fee is non-refundable.

• Ninety (90) days or less prior to departure:
One hundred percent (100%) of the Expedition fee is non-refundable.

Participant acknowledges that expedition pricing is based on limited capacity and fixed operational costs.

Participant agrees not to initiate chargebacks or payment disputes without first contacting SOE to resolve the matter in good faith.

Transfer of Reservation

Payments may be transferred to a future expedition up to two (2) times, provided the request is made more than one hundred twenty (120) days prior to the scheduled departure date. In such cases, transferred payments will be applied to the new expedition and future payment obligations will be adjusted according to the payment schedule applicable to the new departure date.

Transfer requests made within one hundred twenty (120) days of departure may be permitted only if the Participant has paid the full expedition fee and remains subject to all applicable cancellation terms. SOE reserves the right to deny transfer requests made within one hundred twenty (120) days of departure.

All transferred travel must be completed within twenty-four (24) months of the original expedition departure date. Transfers are subject to availability and any applicable price differences at the time of rebooking.

Participant acknowledges that SOE is not obligated to operate future expeditions of a similar nature or at all, and that the opportunity to transfer is contingent upon availability of future departures. If no such departures are available within the applicable time period, no refund shall be due.

Refunds, Credits, and Reimbursements.

In addition to the cancellation terms set forth above, no refunds, credits, or partial reimbursements will be issued for:

• Late arrival for any reason, including flight delays, missed connections, or weather
• Early departure for any reason
• Missed dives or missed portions of the itinerary
• Seasickness or discomfort
• Voluntary withdrawal
• Failure to meet participation requirements
• Failure to provide required documentation
• Passport, visa, or entry issues
• Personal, family, or business conflicts
• Illness or medical disqualification
• Equipment failure, including personal dive equipment

Insurance: Trip cancellation, medical, medical evacuation, and travel interruption coverage.

Participants are strongly advised to purchase comprehensive travel insurance inclusive of medical, medical evacuation, trip cancellation, and interruption coverage. In the event that a Participant cancels participation, or that SOE cancels or curtails the Expedition due to a Force Majeure Event, travel insurance may be the sole source of reimbursement. It is the Participant’s responsibility to review and understand the terms of any policy.

Cancellation penalties apply in accordance with the above schedule regardless of the Participant’s payment status at the time of cancellation.

Non-transferable reservations.

Due to the nature of the Expedition and the requirements of each Participant, reservations are non-transferable and may not be reassigned without the prior written consent of SOE.

3. Expedition Changes & Cancellation by SOE

Expeditions operate in remote and environmentally dynamic regions. Itineraries, routing, dive locations, and schedules may change due to weather, sea state, ice conditions, operational considerations, port restrictions, or safety decisions. Such changes do not constitute a cancellation.

If SOE cancels the Expedition prior to the start date for reasons within its sole control, SOE’s liability shall be limited to a refund of payments actually received by SOE for the Expedition. SOE shall not be responsible for any indirect, incidental, or consequential losses, including airfare, accommodations, equipment purchases, or other travel-related expenses.

Participants are responsible for securing insurance to cover such risks.

4. Medical Facilities & Emergency Care

Expeditions take place in remote polar environments with limited medical infrastructure.

Participants acknowledge that:

• Medical facilities may be limited, delayed, or unavailable
• Emergency evacuation may be required by air or sea
• Hyperbaric treatment facilities are not available locally in Greenland and may require international evacuation

Participants are required to:

• Maintain active dive accident insurance (e.g., DAN or equivalent)
• Maintain travel medical and evacuation insurance
• Provide a physician’s clearance to dive if requested

Detailed medical disclosures, acknowledgments, and assumption of risk provisions are set forth in the separate Participant Agreement and Release of Liability.

SOE is not responsible for medical or evacuation expenses.

5. Passports & Entry Requirements

Participants are responsible for ensuring their passport is valid for the required entry period and that all necessary visas or permits are obtained. SOE strongly recommends that a Participant’s passport is valid for a period of more than six months past their planned departure date from a foreign country.

No refunds will be issued for expired passports, denied boarding, denied entry, or incomplete documentation.

6. Participant Qualifications

SOE reserves the sole and absolute right to determine Participant suitability and fitness for expedition-level diving. Such determinations may be made prior to or during the Expedition.

All divers must:
• Hold appropriate certifications for the planned dives
• Have documented cold-water and drysuit experience appropriate to the Expedition
• Be physically and medically fit to dive
• Maintain required dive accident insurance
• Demonstrate competency in buoyancy control and equipment management

Participants must bring personal dive equipment with which they are familiar and experienced in cold-water conditions. The Expedition is not the appropriate venue for first-time use of new equipment unless participating in a designated training program such as the Polar Prep Series.

SOE may deny boarding or terminate participation at any time if, in SOE’s sole judgment, a Participant’s conduct, skill level, physical condition, equipment, or preparedness presents a safety risk. No refund shall be issued in such cases. Such determination shall be final and binding.

7. Assumption of Risk

Participants acknowledge that expedition-level diving in remote cold-water environments involves inherent and significant risks, including but not limited to:

• Cold-water exposure and hypothermia
• Vessel movement and embarkation hazards
• Ice, currents, and environmental unpredictability
• Equipment malfunction
• Decompression illness
• Physical injury, illness, permanent disability, or death

Participants voluntarily assume all such risks. A separate Participant Agreement and Release of Liability must be executed prior to the start date of the Expedition.

8. Limitation of Liability

To the fullest extent permitted by law, SOE and its owners, officers, employees, contractors, expedition leaders, and affiliated partners shall not be liable for any injury, loss, damage, delay, expense, or death arising from participation in an Expedition.

If, notwithstanding the foregoing, SOE is found legally liable for any claim arising from participation in an Expedition, such liability shall be limited to the amount paid directly to SOE for the Expedition.

SOE shall not be liable for indirect, incidental, consequential, or punitive damages.

9. Governing Law; Dispute Resolution; International Participants

These Terms, the Participant Agreement and Release of Liability, and any dispute arising out of or relating to participation in an Expedition shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Participant Agreement and Release of Liability, or participation in an Expedition shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules then in effect.

The arbitration shall take place in New York, New York, and shall be conducted in the English language.

This agreement to arbitrate applies to all Participants regardless of citizenship, residence, or country of booking.

The parties agree that the United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

The parties waive any right to a jury trial and agree that all claims must be brought in an individual capacity and not as part of any class, collective, consolidated, or representative action.

Judgment upon the arbitration award may be entered in any court having jurisdiction thereof. The arbitrator shall have exclusive authority to determine the scope and enforceability of this arbitration provision.
